Board and Executives
Qualstar Credit Union is a member-owned financial cooperative, governed by a nine member Board of Directors. The Board is comprised of members of the Credit Union.
The Credit Union is a state chartered, federally insured financial institution. The State of Washington Department of Financial Institutions conducts periodic examinations of the Credit Union. These examinations verify compliance with regulatory statutes and capital requirements and confirm that assets are being safeguarded. The National Credit Union Administration, a federal agency, also participates in periodic examinations to assure the safety and soundness of the National Credit Union Share Insurance Fund.
Mark has been with Qualstar since 1984. He started as a part-time teller during college. He has a Bachelor of Arts in Business Administration from Pacific Lutheran University, and is a CPA certificate holder.
Mike has been with Qualstar since 1993, when he was hired as the Accounting Manager. Mike has a Bachelor of Arts in Accounting from Western Washington University, and is a CPA certificate holder.
Rob came on board with Qualstar in 2005 after working at Washington’s Credit Union for 22 years. Rob has a Bachelor of Arts in Economics from Washington State University.
The Board of Directors retains the Credit Union President who is the “Chief Executive Officer” and is responsible for managing the Credit Union’s operations. The Board of Directors is legally responsible by statute, Articles of Incorporation, and Bylaws for overall direction of the affairs and the performance of Qualstar. They carry out this responsibility by establishing guiding policy and monitoring the performance of management within the framework of these policies. The Board meets monthly to carry out its duties. Additionally, standing committees comprised of Board Members meet regularly to support the formulation and monitoring of board policy.
Bill Rochester has been a member of Qualstar’s Board of Directors since 1987, serving as Chairman from 1990-1993. He retired from Safeway, Inc., after a 38 year-career where he held the positions of Store Manager and District Manager in the Seattle Division of the organization.
Kim has been on the Board of Directors since 2012. She served on the Supervisory Committee prior to her being elected to the Board. Kim is the owner of 2B Accounting Services in Seattle, WA. She holds a BA in Finance, and an MBA, both from Seattle Pacific University.
Richard has been serving Qualstar members as a Board Director since 2001. Prior to joining the Board, he also volunteered on the credit union’s Supervisory Committee, serving as Chair for the committee. Richard retired from Safeway, Inc., in 2004, after a 36 year career in which he managed numerous stores in the Puget Sound area.
Charlie has been a member of Qualstar’s Board of Directors since 2012. Prior to that he served as a member of the Supervisory Committee since 2003. Charlie has had an extensive firefighting career, currently serving as Fire Investigator for the King County Sheriff’s Office. He holds two Associate of Science Degrees in Business Management and Administration, as well as Fire Science from Solano Community College.
Larry has been volunteering for Qualstar since 1994, serving on the Supervisory Committee before moving onto the Board of Directors in 1997. He served as Board Chairman from 2008-2012.Larry is the retired Manager of the Washington and Northern Idaho District Council of Laborers.
Mitch served on Qualstar’s Supervisory Committee before being appointed to the Board of Directors in 2013. He is the Northwest Real Estate Acquisition Manager with Public Storage, Inc. Mitch has a BA in Architecture from the University of Washington.
Noel has been serving as a Qualstar Board Member since 2004. Prior to joining the Board, he also volunteered on the Supervisory Committee, serving as Chair during his tenure on the committee. Noel has been practicing law since 1975, most recently as General Counsel of the Washington & Northern Idaho District Council of Laborers. Noel holds a BA in Political Science from Seattle University, and a Jurist Doctorate of Laws Degree from Gonzaga Law School.
Joel served as an Associate Board Member before being appointed to the Board of Directors in 2013. He has 15 years of experience as a Union Carpenter, and is employed with Acoustics Northwest, Inc., in Tacoma.
Gene has been a member of Qualstar’s Board of Directors for 25 years. He has served as Board Chairman from 2002 through 2008. Gene is a retired Safeway Store Manager and has a degree in Accounting and an MBA, both from The University of Puget Sound.
Russ De Wolfe started serving Qualstar Credit Union as a volunteer on the Audit Committee in 1999. Russ retired from Safeway, Inc., and currently serves as a Board Director and Audit Committee Chairperson.
Leanne Califano is an Associate Board Member and is currently the chair of the Corporate Governance Committee for Qualstar. She is the Store Director at the Fredrickson Safeway in Puyallup, WA.
Gary Powers is an Associate Board Member who currently serves on the Employee Compensation Review Committee for Qualstar. He is the Assistant Director of Industrial Sector Operations for the International Brotherhood of Boilermakers Union and the Boilermakers International Representative for the Metal Trades Department of the AFL/CIO. In addition to his Union position Gary currently serves as a Trustee on three separate West Coast Health and Welfare Trusts and is a Labor Trustee on the Boilermakers National Annuity Trust.
Doug Scott is an Associate Board Member and is currently serving on the Finance Committee for Qualstar. He is the Business Manager/Secretary-Treasurer for Laborers’ Local 292. He serves as President of the Northwest Washington Building & Construction Trades Council and as Vice President of the Snohomish County Labor Council.
Jermaine Smiley is an Associate Board Member and is currently serving on the Audit Committee for Qualstar. He is the Assistant Business Manager of the Washington & Northern Idaho District Council of Laborers and also serves on the Board of Commissioners for the Seattle Housing Authority.
Emeritus Board Members
Following is a list of the standing committees board members serve on during their term:
- Board Governance Committee: The Board Governance Committee’s primary responsibilities include recruitment of volunteers, oversight of the volunteer nomination and election processes, and management of the annual board self-review process.
- Employee Compensation Review Committee (ECRC): The Employee Compensation Review Committee’s primary responsibilities include management of the CEO compensation package to include salary, benefits, retirement, and incentive program.
- Finance Committee: The Finance Committee is responsible for the oversight of the investment activities of the credit union including the defined benefit and 401k plans.
Member-volunteers are also elected to serve on the three-person Audit Committee. This committee meets periodically with management and internal and external auditors to review the quality of financial reporting, compliance with internal accounting controls, and the nature, extent, timing and results of audits and examinations. In addition, they recommend the selection of an independent certified public accounting firm, which is retained to audit the financial statements of the Credit Union in accordance with generally accepted auditing standards.
Mike has been volunteering for Qualstar Credit Union since 2002. He currently serves as a Board Director, and a member of the Audit Committee. Mike is retired from Minnesota Life Insurance Co.
Becoming a Volunteer
Members who wish to become a Board Director or member of the Audit Committee can apply to do so by completing our online Volunteer Application. Once submitted, the application will be forwarded to the Vice Chairman of the board, who is responsible for managing the board election process.
Applicants will be invited to attend a Board Informational Meeting held in October each year. This meeting will be run by the Board Chairman and Credit Union CEO, and will help explain Board Member duties and responsibilities, time commitment, education requirements, and answer questions applicants may have.
A list of nominees is provided to the membership in January, and elections for open board positions take place prior to the Annual Meeting in April of each year.
